  • 1. Scope of Application
  • These General Terms and Conditions apply to all contracts for the sale, rental or provision of machines, PET cans, accessories, and services between SOLVASO Concept S.L. (hereinafter "SOVAZ") and commercial customers (B2B).
  • Consumers within the meaning of Art. 3 LGDCU are excluded.
  • 2. Conclusion of Contract
  • A contract is only concluded through written confirmation from SOVAZ or through delivery. Offers are non-binding and subject to change unless expressly marked as binding.
  • 3. Prices and Payment Terms
    • All prices are net plus statutory taxes.
    • Payments are due immediately unless otherwise agreed.
    • Default in payment entitles SOVAZ to charge statutory default interest in accordance with Art. 7 Ley 3/2004.
    • Retention of Title: Delivered goods remain the property of SOVAZ until full payment is made.

    • 4. Delivery and Transfer of Risk

    • Delivery dates are non-binding unless confirmed in writing.
    • Risk passes to the customer upon handover to the transport service provider (Art. 333 Código de Comercio).
    • Partial deliveries are permitted.

    • 5. Technical Specifications

    Technical details for machines (e.g. dimensions, power, shutter speed) are non-binding guidelines.

    Only the information in the respective contract, technical data sheet or offer is binding.

    6. Use of the Machines

    The customer is obliged to:

    • operate the machines according to the instructions,
    • maintain hygiene standards,
    • only use suitable food and beverages,
    • adhere to maintenance intervals.

    • SOVAZ accepts no liability for improper use.

    7. Warranty

    • For new machines, the statutory warranty according to the Civil Code and Commercial Code applies.
    • Defects must be reported in writing without delay.
    • SOVAZ is entitled to choose to remedy the defect or provide a replacement.
    • Further claims are excluded unless there is intent or gross negligence.

    • 8. Liability

    SOVAZ is liable exclusively:

    • for intent and gross negligence,
    • for damages to life, body and health,
    • according to mandatory legal provisions.

    • Liability for lost profits, production downtime or indirect damages is excluded.

    9. Trademark and Copyrights

    • The brand sovaz® is protected.
    • All content, designs, technical drawings and advertising materials are protected by copyright.
    • Any use without written permission is prohibited.

    • 10. Data Protection

    The processing of personal data is carried out in accordance with the privacy policy of SOVAZ (see below).

    11. Jurisdiction and applicable law

    Only Spanish law applies.

    The jurisdiction is Benalmádena (Málaga).

2. Purpose of data processing

We process personal data exclusively for the following purposes:

  • Processing of inquiries and orders
  • Contract processing (purchase, rental, service)
  • Customer communication
  • Sending of technical information
  • Fulfilment of legal obligations (tax, accounting)

The processing is carried out in accordance with:

  • Art. 6 para. 1 lit. b GDPR – Contract fulfilment
  • Art. 6 para. 1 lit. c GDPR – Legal obligations
  • Art. 6 para. 1 lit. f GDPR – Legitimate interest (B2B communication)

4. Categories of personal data

We process in particular:

  • Contact data (name, company, email, phone)
  • Contract and order data
  • Payment and billing data
  • Technical data in machine service cases

5. Transfer of data

A transfer occurs only:

  • to logistics service providers,
  • to tax advisors/accounting,
  • to technical service partners,
  • if legally required.

No transfer to third parties for advertising purposes.

6. Storage duration

Data will only be stored as long as necessary for contract processing or legal retention obligations (generally 5–10 years).

You have the following rights under GDPR:

  • Right to erasure
  • Right to restriction
  • Right to data portability
  • Right to object to processing
